COLLABORATION CONTRACT FOR AFFILIATION WITH INFLUENCER

Sigma S.r.l., with its registered office in Pozzilli (IS), via delle Industrie - Pozzilli (IS) , C.F. and P. IVA 00889680948, (info@sigmaitalia.com) in the person of its legal representative pro tempore, hereinafter referred to as “Society o “Sigma”;

The person who, through registration on the www.jibjioli.it, fully accepts this contract, hereinafter referred to as. “Influencer”;

The following is agreed and stipulated.

Art. 1 - Purpose

The Company establishes an affiliate program aimed at promoting and selling cosmetic products marketed on the site www.jibjioli.it Through influencer marketing activities.
The Influencer, by joining the Program, agrees to promote the Company's products on its social and media channels in a manner that is fair, transparent and in accordance with this contract.

Art. 2 - Method of affiliation

The Influencer will not incur any management costs for the affiliate activity.
After registering for the site, you will receive an e-mail communication with instructions on how to access your restricted dashboard, which will contain:

  • the main information about the Program;

  • The tracking of performance and sales;

  • The unique coupon code assigned to him;

  • The summary of accrued commissions.

Art. 3 - Operation of the coupon code

The assigned coupon code will have to be entered manually by buyers in the shopping cart at the time of purchase.
If the buyer fails to enter the coupon code, the system will not record the sale in favor of the Influencer and the Influencer will not accrue any commission.

Art. 4 - Confidentiality of credentials

The dashboard address and login credentials are strictly confidential and personal. Any transfer, disclosure or misuse of them is prohibited. Violation of this obligation will result in immediate termination of the relationship.

Article 5 - Customer discount and commissions

Each sale generated by the Influencer's activity will entitle:

  • to the customer, at a discount of 10% On the purchase price;

  • to the Influencer, at a commission equal to the 10% Of the value of the sale less VAT, returns and cancellations.

Article 6 - Payment of commissions.

Commissions will be paid once a month at the request of the Influencer via the cashout present in the dashboard.
Payment will be made within 30 days of the request against the Influencer's issuance of:

  • Invoice, if VAT-registered;

  • Receipt for occasional services, if operating without a VAT number.

Documentation should be made out to: Sigma S.r.l. - P. IVA 00889680948 - head office in Pozzilli (IS), via delle Industrie.
No commissions will be recognized on transactions that are not completed, canceled, refunded, or subject to chargebacks.

Art. 7 - Demonstration products

At the beginning of the promotional campaign, the Influencer will be able to select from the site's catalog www.jibjioli.it two cosmetic products of his choice, which will be sent to him free of charge and for demonstration purposes only.
Upon receiving the products, the Influencer can start communication and promotion activities on their social channels.

Art. 8 - Obligations of conduct

The Influencer commits to:

  • Promoting Sigma products in a fair and transparent way;

  • Comply with current regulations on advertising, competition and consumer protection;

  • Always declare, in accordance with AGCM guidelines and the IAP Code, that the content disseminated constitutes commercial or sponsored promotion activities;

  • Do not disseminate misleading advertisements, spam, or content on sites that promote illegal activities;

  • Not violate intellectual property rights, trademarks or other rights of Sigma without prior permission;

  • Not to offer refunds, coupons or retrocessions from its commission as an incentive, unless otherwise authorized in writing;

  • Refrain from any media activities or statements that may damage the image, brand or reputation of the Company or the brand Jibjioli.

Article 9 - Termination and suspension

The Company may immediately suspend or terminate the relationship in case of:

  • Violation of the clauses of this contract;

  • suspicion of fraud or self-reporting;

  • Misuse of trademark or login credentials;

  • Activities harmful to the image of the Company.

In the event of termination, only commissions accrued up to the date of termination will be paid, without prejudice to the Company's right to claim damages.

Article 10 - Limitation of Liability

Sigma will not be liable for indirect or incidental damages (including loss of revenue or commission) due to tracking errors, site malfunctions, loss of data, or force majeure events.
Operation of the Program is not guaranteed to be error-free or uninterrupted.

Art. 11 - Duration

This contract is for an indefinite term.
Either party may withdraw at any time by written notice sent by e-mail.

Article 12 - Jurisdiction

Any dispute relating to the interpretation, execution and termination of this contract shall be the exclusive jurisdiction of the Forum of Isernia.

Art. 13 - Validity of the electronic signature

This contract constitutes a legally binding electronic contract.
Acceptance of the contract by registering and checking the relevant box on the website www.jibjioli.it has the same validity as a handwritten signature, pursuant to Article 20 of the Digital Administration Code (Legislative Decree 82/2005).
